C. Robert Kidder
Borden, Inc.

April 1, 1998 -- C. Robert Kidder joined Borden, Inc., as Chairman and Chief Executive Officer in January 1995.

He came to Borden from Duracell International Inc., which he had headed since 1984. During his tenure, Duracell not only solidified its number one position in the U.S. market for alkaline batteries, but also expanded the brand globally to become the world's leading producer and distributor of alkaline batteries.

Mr. Kidder joined Duracell in June 1980 as Vice President, Finance and Administration for Duracell Europe. He became Vice President, Sales and Marketing of Duracell U.S.A. in August 1981, President of Duracell U.S.A. in March 1982, and President of Duracell, Inc. in August 1984. Duracell became an independent private company, Duracell Holding Corporation, through a leveraged buyout by Kohlberg Kravis Roberts & Co. in June 1988, and Mr. Kidder assumed the position of President and CEO. When the company was renamed Duracell International Inc. as a result of a May 1991 public sale of common stock, Mr. Kidder was named Chairman and CEO. He stepped down from the CEO position in October 1994, continuing a non-executive Chairman until joining Borden following KKR's acquisition of Borden in 1994.

Prior to joining Duracell, he was Vice President, Planning and Development for Dart Industries in Los Angeles; worked six years with McKinsey & Company in Chicago as a general management consultant; spent two years with Ford Motor Company and served as an officer in the U.S. Nancy Civil Engineer Corps.

Mr. Kidder currently serves on the Boards of Directors of AEP Industries Inc.; Morgan Stanley, Dean Witter, Discover & Co.; Electronic Data Systems Corporation; the Grocery Manufacturers of America, Inc.; COSI (Ohio's Center of Science & Industry); Wexner Center Foundation (nonprofit partner of The Ohio State University Board of Trustees that oversees the Wexner Center for the Arts) and each operating company within the Borden Family of Companies. He is also involved in a variety of theater, art and other community activities.

Mr. Kidder earned a B.S. in industrial engineering from the University of Michigan and a graduate degree in industrial economics from Iowa State University.
